Please read the following carefully, as these terms govern your access and use of Quoterite's user portal and web-based software services platform designed to streamline your business systems ("Platform").

1. Who we are

We are QR Systems Pty Limited (ACN 654 127 894) trading as Quoterite of 20 Kandra Road, Sheidow Park, South Australia 5158, Australia.

2. Terms of access and use

(a) We have been requested to provide you with access to and use of the Platform. We agree to provide access to the Platform in accordance with these terms and you agree to grant us a non-exclusive, worldwide, royalty-free license to use data inputted, generated or otherwise uploaded to the Platform by you ("Data"), to the extent required by us, to provide you with access to the Platform.

(b) You are responsible for ensuring your use, alongside any Data you post, upload or display on or through the Platform does not violate any of the terms, our rights and the rights of other users or third parties. This includes Data that is not misleading, deceptive, harmful, offensive, invasive of another's privacy or otherwise unlawful. We will use, store and handle personal information in accordance with requirements of the Privacy Act 1988 (Cth) that apply to us and our Privacy Policy. Our Privacy Policy applies to you and your use of the Platform at all times.

(i) use the Platform in any manner that we would consider unlawful or inappropriate;
(ii) gain unauthorised access to any part of our systems or interfere with our networks or servers;
(iii) remove any copyright notices, titles, trademarks, logos, trademarks, notices and any other proprietary marks on, or that are part of any of our systems or the Platform; and
(iv) interact with us in a disrespectful and unprofessional manner.

(d) Our services (including all Intellectual Property Rights in and to the Platform) are owned, and remain with, us. You do not have any rights to copy, reproduce, or provide to any third party in any medium or manner without our prior written consent.

(e) You understand that;

(i) The Platform is provided "as is" and "as available" and we make no representation, warranty or guarantee as to the reliability, quality, availability, accuracy or completeness of the Platform and information generated by the Platform. Whether or not this is due to scheduled maintenance, installation of updates or other factors beyond our reasonable control; we will not be liable in the event that the Platform is unavailable to You.
(ii) By logging in, you indemnify, defend, and hold harmless QR Systems Pty Ltd (including our officers, directors, agency, employees, representatives and any affiliates) from and against any and all losses, expenses, third party claims, demands, defence costs, actions or liability of any kind or nature.

3. Other terms and policies that apply

We reserve the right to suspend your access to the Platform if we form the view that there has been a breach of these terms. Further details on the terms or your access rights can be obtained from our website.

By logging in, you acknowledge you agree to the above and to indemnify, defend, and hold harmless QR Systems Pty Limited (including our officers, directors, agency, employees, representatives and any affiliates) from and against any and all losses, expenses or third party claims, if you breach any of these terms.
